Terms of Service

1. Scope of Services

According to this Agreement, MSNJ agrees to provide services as described in the Engagement Letter signed with the Customer. MSNJ shall maintain all information, documentation, reports and evidence in strict confidence and will not disclose it to unauthorized third parties.

2. Representations of MSNJ

• Services will comply with all applicable laws and regulations.
• Assigned personnel possess required technical knowledge.
• Services will be delivered skillfully and professionally.
• No malicious software or harmful code will be introduced.

3. Confidentiality

MSNJ agrees to safeguard all business, financial, technical and proprietary information (“Confidential Information”) of the Customer and its affiliates. This obligation survives termination of the Agreement.

4. Term

This Agreement remains valid for the engagement period mentioned in the Engagement Letter from the Engagement Start Date.

5. Termination

Either party may terminate this Agreement upon breach if not cured within thirty (30) business days of written notice.

6. Ownership

All intellectual property, documentation and reports remain the sole property of the Customer.

7. Indemnification

The Customer agrees to indemnify MSNJ against losses except those arising from MSNJ's bad faith or gross negligence.

8. Limitation of Liability

Liability is limited to the total fees paid for services.

9. Entire Agreement

This Agreement and the Engagement Letter constitute the entire agreement.

10. Governing Law

Governed by the laws of India. Jurisdiction: Ahmedabad Courts.

11. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control.

12. Anti-Corruption

The Customer confirms no illegal payments or gifts were offered or received.

13. Interpretation

“Including” or “such as” means “including without limitation”.
